1. 定義及解釋
在本協議中,除非上下文另有所指,否則以下術語具有如下所定義的含義:
- "服務" 指 Frasertec 提供的 AI 輔助快速軟件開發服務。
- "客戶" 指要求、使用或接收服務的個人或實體。
- "AI 工具" 指用於開發系統的人工智能工具、模型、演算法、軟件或其他技術。
- "交付物" 指根據本協議開發和交付給客戶的任何程式碼、軟件、系統、文檔或其他輸出。
- "知識產權" 指專利、商標、版權、外觀設計、數據庫權利、專有技術、商業秘密以及所有其他已註冊或未註冊的知識產權。
2. 服務範圍
Frasertec 將提供以下服務:
- 使用 AI 工具進行系統設計和開發
- 基於客戶需求的定制軟件開發
- 系統集成、測試和部署
- 必要的文檔和培訓
- 約定的維護和支援服務
服務的具體範圍將在單獨的服務協議或工作聲明中詳細說明,並構成本條款的一部分。
3. 知識產權
關於本服務產生的知識產權,雙方同意以下條款:
- 在客戶付清所有相關費用後,Frasertec 將向客戶轉讓交付物的所有權利、所有權和權益,包括其中包含的所有知識產權。
- Frasertec 保留其在提供服務前已擁有的技術、工具、方法論和知識產權的所有權。
- 對於服務過程中使用的第三方 AI 工具,客戶承認這些工具可能受第三方許可條款的約束,Frasertec 將確保客戶了解這些條款。
- 客戶確認並同意,AI 工具可能使用已存在的訓練數據,可能導致類似功能或代碼在其他項目中出現,這不構成對客戶知識產權的侵犯。
- Frasertec 保留權利使用在提供服務過程中獲得的知識、技能和經驗,只要不揭露客戶的機密信息。
4. 保密
雙方同意:
- 對在服務過程中獲得的所有機密資訊保密,除非為履行本協議所必需,否則不得向第三方披露。
- 採取合理措施保護機密資訊,至少採用與保護自身機密資訊相同的謹慎程度。
- 客戶了解 AI 工具可能由第三方提供,並可能按其條款處理數據。Frasertec 將採取合理措施確保符合適用的數據保護法律。
- 協議終止後,本保密義務將繼續有效五年。
5. 數據處理與隱私
關於數據處理,雙方同意:
- Frasertec 將按照香港特別行政區《個人資料(私隱)條例》(第486章)和其他適用法律處理個人資料。
- 客戶應確保有權提供任何提供給 Frasertec 的個人資料,並已獲得必要的同意。
- Frasertec 可能使用 AI 工具處理數據,客戶理解這可能涉及將數據傳輸到第三方系統。Frasertec 將確保採取適當的安全措施保護數據。
- Frasertec 不會將客戶數據用於開發服務以外的目的,除非客戶明確同意或法律要求。
6. 責任限制
關於責任,雙方同意:
- 除法律不允許排除的責任外,Frasertec 的總責任限於客戶就相關服務實際支付的費用總額。
- Frasertec 不對因使用 AI 工具而產生的任何間接損失、利潤損失、業務損失、機會損失或數據損失負責。
- 客戶理解 AI 工具的局限性,包括可能存在的錯誤、偏見或不準確。Frasertec 將盡合理努力減輕這些風險,但不保證完全消除這些問題。
- 客戶負責審查和測試交付物,並應及時通知 Frasertec 任何缺陷或問題。
7. 知識產權免責
關於知識產權:
- Frasertec 不對因使用 AI 工具開發的交付物可能侵犯第三方知識產權而導致的任何索賠、損失或損害負責。
- 客戶理解並確認,AI 工具的使用可能涉及第三方知識產權,Frasertec 無法保證交付物不會侵犯任何第三方權利。
- 如果客戶收到任何知識產權侵權索賠,客戶應自行負責處理並自擔風險和費用。
- 客戶同意在使用 AI 開發工具過程中,應遵守所有相關的知識產權法律法規,並對最終使用目的承擔全部責任。
8. 付款條款
關於付款:
- 客戶同意按照相關服務協議或工作聲明中指定的費用和付款時間表支付費用。
- 所有發票應在收到後30天內支付,除非另有約定。
- 逾期付款將按每月1.5%或法律允許的最高利率計算利息,以較低者為準。
- 所有費用均不含稅,客戶應負責支付所有適用的稅款。
- 如有爭議,客戶應在收到發票後10天內提出,否則視為接受發票。
9. 終止
本協議可在以下情況下終止:
- 雙方書面同意終止;
- 一方嚴重違反本協議且在收到書面通知後30天內未能補救,另一方可終止本協議;
- 任何一方破產、清盤或類似程序開始時,另一方可終止本協議。
終止後,客戶應支付終止生效日期前提供的所有服務費用。終止不影響終止前產生的任何權利、義務或責任。
10. 法律適用和管轄
本協議受香港特別行政區法律管轄並按其解釋,雙方同意接受香港法院的專屬管轄。
11. 完整協議
本條款構成雙方就服務達成的完整協議,並取代之前所有的口頭或書面協議、陳述或理解。對本條款的任何修改必須以書面形式作出並由雙方簽署。
1. Definitions and Interpretation
In this Agreement, unless the context otherwise requires, the following terms shall have the meanings defined below:
- "Services" refers to the AI-assisted rapid software development services provided by Frasertec.
- "Customer" refers to the individual or entity requesting, using, or receiving the Services.
- "AI Tools" refers to artificial intelligence tools, models, algorithms, software, or other technologies used for system development.
- "Deliverables" refers to any code, software, systems, documentation, or other outputs developed and delivered to the Customer under this Agreement.
- "Intellectual Property Rights" refers to patents, trademarks, copyrights, design rights, database rights, know-how, trade secrets, and all other registered or unregistered intellectual property rights.
2. Scope of Services
Frasertec will provide the following services:
- System design and development using AI tools
- Custom software development based on customer requirements
- System integration, testing, and deployment
- Necessary documentation and training
- Agreed maintenance and support services
The specific scope of services will be detailed in a separate service agreement or statement of work, which will form part of these terms.
3. Intellectual Property
Regarding intellectual property arising from the Services, the parties agree to the following terms:
- Upon full payment of all relevant fees, Frasertec will transfer to the Customer all rights, title, and interest in the Deliverables, including all intellectual property rights contained therein.
- Frasertec retains ownership of any pre-existing technologies, tools, methodologies, and intellectual property rights that it owned before providing the Services.
- For third-party AI tools used during the service process, the Customer acknowledges that these tools may be subject to third-party license terms, and Frasertec will ensure the Customer understands these terms.
- The Customer acknowledges and agrees that AI tools may use existing training data, which may result in similar functionality or code appearing in other projects, and this does not constitute an infringement of the Customer's intellectual property rights.
- Frasertec reserves the right to use knowledge, skills, and experience gained during the provision of Services, provided it does not disclose the Customer's confidential information.
4. Confidentiality
Both parties agree to:
- Keep confidential all confidential information obtained during the service process and not disclose it to third parties unless necessary for the performance of this Agreement.
- Take reasonable measures to protect confidential information, at least with the same degree of care used to protect their own confidential information.
- The Customer understands that AI tools may be provided by third parties and may process data according to their terms. Frasertec will take reasonable measures to ensure compliance with applicable data protection laws.
- The confidentiality obligations will continue for five years after the termination of this Agreement.
5. Data Processing and Privacy
Regarding data processing, both parties agree:
- Frasertec will process personal data in accordance with the Hong Kong SAR Personal Data (Privacy) Ordinance (Cap. 486) and other applicable laws.
- The Customer shall ensure that it has the right to provide any personal data provided to Frasertec and has obtained the necessary consents.
- Frasertec may use AI tools to process data, and the Customer understands that this may involve transferring data to third-party systems. Frasertec will ensure appropriate security measures are taken to protect the data.
- Frasertec will not use Customer data for purposes beyond the development services, unless explicitly agreed by the Customer or required by law.
6. Limitation of Liability
Regarding liability, both parties agree:
- Except for liabilities that cannot be excluded by law, Frasertec's total liability shall be limited to the total amount of fees actually paid by the Customer for the relevant Services.
- Frasertec shall not be liable for any indirect losses, loss of profits, loss of business, loss of opportunity, or loss of data arising from the use of AI tools.
- The Customer understands the limitations of AI tools, including possible errors, biases, or inaccuracies. Frasertec will make reasonable efforts to mitigate these risks but does not guarantee the complete elimination of these issues.
- The Customer is responsible for reviewing and testing the Deliverables and should promptly notify Frasertec of any defects or problems.
7. Intellectual Property Disclaimer
Regarding intellectual property:
- Frasertec is not responsible for any claims, losses, or damages resulting from possible infringement of third-party intellectual property rights by deliverables developed using AI tools.
- The Customer understands and acknowledges that the use of AI tools may involve third-party intellectual property rights, and Frasertec cannot guarantee that deliverables will not infringe any third-party rights.
- If the Customer receives any intellectual property infringement claims, the Customer shall be solely responsible for handling such claims at their own risk and expense.
- The Customer agrees to comply with all relevant intellectual property laws and regulations when using AI development tools and assumes full responsibility for the final use.
8. Payment Terms
Regarding payment:
- The Customer agrees to pay fees according to the fee schedule and payment timeline specified in the relevant service agreement or statement of work.
- All invoices shall be paid within 30 days of receipt unless otherwise agreed.
- Late payments will accrue interest at a rate of 1.5% per month or the highest rate permitted by law, whichever is lower.
- All fees are exclusive of taxes, and the Customer shall be responsible for paying all applicable taxes.
- If there is a dispute, the Customer should raise it within 10 days of receiving the invoice; otherwise, the invoice will be deemed accepted.
9. Termination
This Agreement may be terminated under the following circumstances:
- By written agreement of both parties;
- By either party if the other party materially breaches this Agreement and fails to remedy the breach within 30 days of receiving written notice;
- By either party if the other party becomes bankrupt, enters liquidation, or similar proceedings commence.
Upon termination, the Customer shall pay for all Services provided up to the effective date of termination. Termination does not affect any rights, obligations, or liabilities that arose before termination.
10. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, and the parties agree to submit to the exclusive jurisdiction of the Hong Kong courts.
11. Entire Agreement
These terms constitute the entire agreement between the parties with respect to the Services and supersede all previous oral or written agreements, representations, or understandings. Any modifications to these terms must be made in writing and signed by both parties.
